• Advising on issues related to investment activities, particularly foreign investment, to ensure the feasibility of the investment projects on legal aspect;
• Advising on issues related to corporate governance to ensure legal compliance and to prevent potential disputes relating to corporate governance;
• Advising, drafting, and reviewing various contracts in multiple sectors, such as sale contracts, service contracts, lease contracts, cooperation contracts, consortium agreements, etc, to ensure legal compliance and protect client interests;
• Providing legal advice/legal opinion in various areas (lending, real estate, tax, labour, dispute resolution, etc.) to ensure legal compliance and resolve issues for clients;
• Providing comprehensive advice for mergers and acquisitions activities, such as developing suitable transaction plans based on actual situations and client needs, drafting purchase agreements, shareholder agreements, and other related documents, and registering M&A transactions, etc.;
• Conducting legal due diligence for the investment activities, transfer transactions, etc. of the clients;
• Providing legal advice on commercial franchise; drafting, reviewing franchise agreements, registering the franchise;
• Providing expert legal advice on matters related to commercial contracts, disputes, and arbitration procedures, preparing and managing arbitration cases, including drafting pleadings, discovery, and pre-hearing briefs, and representing clients in commercial arbitration proceedings in Vietnam.

Work history and other professional activity

Before joining Phuoc & Partners, Lawyer Hien worked for various law firms and companies in different roles. Lawyer Hien was:

• Legal Specialist, then Deputy Manager of the Legal Advisory Centre at InvestConsult Group;
• Senior Associate, then Partner at Bizlink Lawyers & Consultants (now Bizlink Lawyers);
• Senior Associate at DNPro Counsel LLP (now An Legal);
• In-house Counsel of Vietnam Investments Group (VIG) and then Head of Legal for the VIG investee companies specializing in the F&B and education sectors.

Lawyer Hien is also a guest lecturer at the Judicial Academy of Vietnam.

Lawyer Hien has contributed various specialised articles to the Saigon Times.
